Read these terms carefully . Use of the MedUnity Inc's Web site (the “Site”) is subject to the terms and conditions set forth in this User Agreement (the “User Agreement”). It is also subject to certain restrictions on the electronic transmission and retrieval of information (the “Service”) provided through the Site. If you (the “User”) do not agree to these terms and conditions set forth below, you may not access or otherwise use the Service and the Site. By logging onto the MedUnity Web Site you agree to these terms and conditions, please read through this entire Agreement if you have any questions please contact your practices administrator.
| (i) | User will not disclose its password (allowing access to the Site and Service) to any other person or entity, or to otherwise permit any other person or entity to gain access to the Service through such password. User will be responsible for all activity or transactions through the Site that are attributable to User’s account and password. |
| (ii) | User will access only User’s Protected Information as provided for by the system/services. User will ensure that any Protected Information that it accesses or retrieves from MedUnity and/or MedUnity's corporate parent will be used solely for the purposes permitted by HIPAA. User acknowledges that it is permitted to obtain access to and use the Service solely because User is a MedUnity Member, and has no rights, privileges or permission to use such Service in any other capacity or outside the terms of this User Agreement. |
| (iii) | User will ensure that any Protected Information that User accesses or retrieves from MedUnity and/or MedUnity's corporate services will be maintained in confidence and not disclosed to any other party, except in accordance with this User Agreement and HIPAA Regulations. |
| (iv) | User acknowledges that all right, title and interest in and to the Protected Information, the Service, the Site, and the intellectualy property associated therewith, including all present and future rights in and to intellectual property and other proprietary rights of any type are and will continue to be the sole and exclusive property of MedUnity and/or MedUnity's corporate parent and/or MedUnity's licensees and/or MedUnity's licensor (Communical LLC). |
| (v) | User acknowledges that it will have access to individually identifiable information, as that term is defined under HIPAA, pertaining to persons represented in this system, including patient demographics, medical records medical information and billing information. User agrees to assure that all such information is used only for the purposes authorized by this User Agreement, and further agrees that it shall not provide or permit access to such information except as it has been authorized by this User Agreement. |
| (vi) | User agrees that it will not allow, accommodate or otherwise permit access to the Service by persons who are not authorized Users of it; and that User shall treat as confidential all information User accesses. |
| (i) | will not be assigned or otherwise transferred by User; and |
| (ii) | may not be modified, terminated or amended, nor any of its provisions waived, except by a written instrument signed by MedUnity and/or MedUnity's corporate parent. |
