Read these terms carefully . Use of the MedUnity Inc's Web site (the “Site”) is subject to the terms and conditions set forth in this User Agreement (the “User Agreement”). It is also subject to certain restrictions on the electronic transmission and retrieval of information (the “Service”) provided through the Site. If you (the “User”) do not agree to these terms and conditions set forth below, you may not access or otherwise use the Service and the Site. By logging onto the MedUnity Web Site you agree to these terms and conditions, please read through this entire Agreement if you have any questions please contact your practices administrator.

1. The Site is intended to allow MedUnity members (“Member” or “Members”) the means to review and use information that is particular to their own account. As part of the Service, a Member will have the ability to communicate with MedUnity and/or MedUnity's corporate parent, and to access and transmit certain information over the internet. The information accessible through the Site and Service includes a Member’s Patient demographics, and eligibility status, claims adjudication and payment information, certain medical and billing information and/or other benefits coverage information. All of this aforementioned information is confidential information (the “Protected Information”), and its use and disclosure is subject to stringent federal and state laws and regulations with which this User Agreement must comply. In particular, the use and disclosure of Protected Information is regulated by state and federal law, including, but not limited to, the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”). It is understood and agreed that this User Agreement is intended to fully comply with HIPAA and all applicable state and federal law.
   
   
2. User and MedUnity and/or MedUnity's corporate parent desire to assure that the Protected Information transmitted through the Site and Service will be maintained as confidential information, and that its accessibility by electronic means through the Site and Service will be limited to User. The availability by electronic means of this Protected Information is not intended to lessen its protection against unauthorized use or disclosure.
   
   
3. By using this system/service you agree to the Terms of this Agreement, User attests that User use this system in a legal manner in regard to Protected Information, and that User agrees with and intends to be bound by the terms of this User Agreement.
   
   
4. User’s Obligations. User agrees as follows:
   
   

   (i)	User will not disclose its password (allowing access to the Site and Service) to any other person or entity, or to otherwise permit any other person or entity to gain access to the Service through such password. User will be responsible for all activity or transactions through the Site that are attributable to User’s account and password.
   (ii)	User will access only User’s Protected Information as provided for by the system/services. User will ensure that any Protected Information that it accesses or retrieves from MedUnity and/or MedUnity's corporate parent will be used solely for the purposes permitted by HIPAA. User acknowledges that it is permitted to obtain access to and use the Service solely because User is a MedUnity Member, and has no rights, privileges or permission to use such Service in any other capacity or outside the terms of this User Agreement.
   (iii)	User will ensure that any Protected Information that User accesses or retrieves from MedUnity and/or MedUnity's corporate services will be maintained in confidence and not disclosed to any other party, except in accordance with this User Agreement and HIPAA Regulations.
   (iv)	User acknowledges that all right, title and interest in and to the Protected Information, the Service, the Site, and the intellectualy property associated therewith, including all present and future rights in and to intellectual property and other proprietary rights of any type are and will continue to be the sole and exclusive property of MedUnity and/or MedUnity's corporate parent and/or MedUnity's licensees and/or MedUnity's licensor (Communical LLC).
   (v)	User acknowledges that it will have access to individually identifiable information, as that term is defined under HIPAA, pertaining to persons represented in this system, including patient demographics, medical records medical information and billing information. User agrees to assure that all such information is used only for the purposes authorized by this User Agreement, and further agrees that it shall not provide or permit access to such information except as it has been authorized by this User Agreement.
   (vi)	User agrees that it will not allow, accommodate or otherwise permit access to the Service by persons who are not authorized Users of it; and that User shall treat as confidential all information User accesses.

5. Termination . MedUnity and/or MedUnity's corporate parent may immediately terminate this User Agreement and the rights granted to User hereunder, with or without cause, at any time, without notice, and without penalty.
   
   
6. General Provisions .
   
   A. This User Agreement:
   

   (i)	will not be assigned or otherwise transferred by User; and
   (ii)	may not be modified, terminated or amended, nor any of its provisions waived, except by a written instrument signed by MedUnity and/or MedUnity's corporate parent.

   
   B. All Protected Information shall be released only in accordance with applicable federal or state law.
   
   C. MedUnity and/or MedUnity's corporate parent does not guarantee the availability of electronic information for any minimum number of hours per day or days per year. MedUnity and/or MedUnity's corporate parent may terminate this User Agreement and electronic access to MedUnity and/or MedUnity's corporate parent’s Site and Service provided under this User Agreement at any time.
   
   D. This User Agreement shall be governed by the laws of the Commonwealth of Massachusetts.
